Structuring private equity funds, as part of financial advisory services to sponsors wanting to set up dedicated funds
As part of our financial advisory role, we :
-
decide on the right legal form, along with our client and/or potential partner. In particular, we have mastered the increasingly popular SICAR and SIF Luxembourg structures;
-
structure the fund while producing all the necessary documentation (e.g. Placement Memorandum, Due Diligence Package) in coordination with legal and tax advisors of the promoter(s). At this stage, we lend our skills to help model, adjust and enhance the value of the project pipeline, set up an effective management team, set corporate governance rules, etc.;

coordinate the fund’s incorporation with the legal advisors and the depositary bank (with the option of using the Edmond de Rothschild Private Bank);

can capitalise on our relationships with potential investors on a best-efforts basis, as well as on our special agreements with several placement platforms, in order to help place the funds with investors.
We review, on a case-by-case basis, the option of joining promoters of new funds, generally as a minority, but active sponsor (sitting on the management firm’s board and on the various fund committees, helping to seek out investments and/ or co-investments or other forms of involvement).
Private Equity funds: infrastructure and real estate
Among our achievements in this area are our contributions to:

a EUR 140 million pan-European transport infrastructure fund (first round of financing) called the Transport Infrastructure Investment Company, in which we are also a minority sponsor ,alongside a motorway concession operator and a major European commercial bank;

the structuring of a private equity fund with a target size of $500 million dedicated to transport and social infrastructure and to real-estate developments, which was a display of our African presence.
